Welcome to the Noviq Workspace. These Terms & Conditions ("Terms", "Agreement") govern your access to and commercial use of the software-as-a-service platforms, applications, and pipelines hosted at getnoviq.com and affiliated subdomains (collectively, the "Services") operated by Noviq Inc. ("Noviq", "we", "us", "our"). By provisioning a corporate workspace tenant, authorizing account access, or utilizing our services, you agree to be legally bound by this agreement.
Access to our Services is restricted strictly to verified legal commercial entities, corporate partnerships, and government agencies active within the federal, state, or municipal contracting sectors. To activate a workspace, corporate administrators must register utilizing corporate credentials via secure SSO identity pools (such as corporate Google Accounts). Administrators are solely responsible for provisioning individual seats within their logically isolated tenant, maintaining seat access hygiene, and immediately revoking credentials of departing personnel.
"AI accelerates. Your team decides." Our intelligence modules—including procurement parsers, incumbent classifiers, and compliance check simulators—are designed to augment and accelerate capture operations. However, natural language algorithms and classification trees can occasionally produce approximations. You agree that your qualified human bid operators and capture managers are solely responsible for validating all bidding intelligence, price matrices, subcontractor pricing allocations, and compliance reports before final submission to any government authority. Noviq accepts no responsibility or legal liability for the compliance of proposal responses compiled using our Service.
You represent and warrant that your use of the Services complies with all applicable procurement laws and regulations. You agree NOT to use the Services to:
Noviq retains all right, title, and interest in and to our Services, including core analytics engines, proprietary incumbent heuristics, custom UI designs, data pipelines, brand assets, and styling libraries. You retain all right, title, and interest in and to all proprietary materials, bid sheets, competitor matrices, and pricing algorithms uploaded to or generated within your isolated workspace.
Commercial subscriptions are provisioned under customized, seat-based billing agreements negotiated directly with Noviq enterprise advisors. Fees are billed strictly in advance. Either party may terminate the workspace subscription at the end of the current billing cycle with a 30-day written notice. We reserve the right to immediately suspend workspace access if account dues are past-due or if an acceptable use policy is violated.
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESSED OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PROCUREMENT EXCLUSION, COMPLIANCE AUDIT PASSRATES, OR UNINTERRUPTED SYSTEM AVAILABILITY.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NOVIQ INC. BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF FEDERAL PROFITS, REVENUE SHORTFALLS, COMPLIANCE penalties, FORFEITED AWARDS, OR BUSINESS DISRUPTIONS ARISING OUT OF YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY.
